Management Liability Insurance for Australian Small Businesses

Management liability insurance helps small companies consider claims arising from decisions made by their directors, officers and managers. Directors, officers and managers make decisions about employees, regulators, creditors, shareholders, contracts and company money.

Management liability insurance can combine selected protections for the company and its leaders, subject to the chosen sections and wording.

Management liability insurance: which exposures are included?

Management liability insurance may include directors and officers liability, company liability, employment practices liability, statutory liability and crime or fidelity sections. Not every policy includes the same sections or limits.

The Australian Government lists management liability among common business-insurance types in its business insurance guidance. The need depends on the entity, staff, governance, industry, finances and contractual or regulatory environment.

Claims Can Target the Company and Individuals

Allegations may involve breaches of duty, mismanagement, misleading conduct, employment decisions, regulatory investigations or misuse of company funds. A claim can require legal advice and defence long before liability is determined.

Directors should not assume the company can always indemnify them. Insolvency, legal restrictions, conflicts or insufficient funds may prevent or limit an indemnity.

Separate directors and officers insurance may be appropriate for larger or more complex organisations. Management liability is commonly structured for private companies and smaller organisations.

Understand the Sections and Sub-Limits

  • Directors and officers: covered claims against individual leaders.
  • Company liability: specified claims made against the entity.
  • Employment practices: allegations such as unfair dismissal, discrimination or harassment.
  • Statutory liability: selected investigations, defence costs or penalties where legally insurable.
  • Crime: specified direct financial loss from employee dishonesty or external crime.

Each section can have separate limits, excesses, exclusions and notification rules. Regulatory fines and penalties are not universally insurable, and legal restrictions differ.

Information Required for a Meaningful Review

Insurers may ask about ownership, directors, subsidiaries, turnover, assets, debts, profitability, employee numbers, redundancies, disputes, claims and regulatory matters.

Disclose acquisitions, new entities, overseas operations, capital raising, insolvency concerns or planned restructuring. A policy arranged for one company may not automatically cover every related entity or later acquisition.

Management liability is usually claims-made. Promptly notify claims and circumstances and consider continuity when changing insurers or business structures.
